How to Read an FDD Without Getting Lost

Focus on the FDD items that most affect your risk: fees, investment, territory, obligations, Item 19, and outlet counts.

Start with Items 5–7

Item 5 covers initial fees paid to the franchisor. Item 6 covers ongoing fees. Item 7 estimates the full initial investment including working capital.

Understand territory in Item 12

Exclusive territory language varies. Some brands protect ZIP codes; others protect little. Know who can sell into your market.

Treat Item 19 as a starting point

If an Item 19 exists, study the definitions, included outlets, and what percentage beat the average. If it does not exist, rely more heavily on franchisee validation.

Watch Item 20 for system health

Outlet openings, transfers, and closures tell you whether the system is growing, stable, or churning.

Don’t skip litigation and bankruptcy items

Items 3 and 4 surface material legal and financial history. Context matters — ask direct questions.
